Terms of Service

1. Definitions

• "Services": all neurophysiological analysis, consulting and training services offered by NeuroQuantic
• "Client": any natural or legal person who uses our services
• "Data": any neurophysiological data or information provided for analysis
• "Deliverables": reports, analyses and any output resulting from our services
• "Platform": NeuroQuantic's secure data upload and management system

2. Description of Services

NeuroQuantic provides specialized services for:

1. Neurophysiological data analysis (EEG, MEG, EP)
2. Research project consulting
3. Personnel training
4. Clinical trial support
5. Protocol and SOP development

3. Client Obligations

The Client agrees to:

• Provide accurate and complete data according to agreed specifications
• Ensure all data is anonymized before submission
• Obtain all necessary consents from study participants
• Comply with all applicable ethical and legal regulations
• Use deliverables only for agreed purposes
• Maintain confidentiality of access credentials

4. NeuroQuantic Obligations

NeuroQuantic agrees to:

• Provide services in accordance with international scientific standards
• Maintain utmost data confidentiality
• Process data within agreed timeframes
• Provide technical support during business hours
• Promptly notify of any issues or delays

6. Confidentiality

6.1 Confidential Information

Both parties agree to maintain confidentiality of all confidential information received from the other party, including:

• Study protocols and experimental designs
• Preliminary and final analysis results
• Commercial and financial information
• Proprietary methodologies

6.2 Duration of Obligation

The confidentiality obligation remains in effect for 5 years from the conclusion of the contractual relationship.

7. Liability and Limitations

7.1 Limitation of Liability

NeuroQuantic shall not be liable for:

• Indirect, special or consequential damages
• Loss of profits or business opportunities
• Damages arising from errors in data provided by the Client
• Improper use of deliverables by the Client

7.2 Maximum Liability

NeuroQuantic's maximum liability is limited to the value of services paid in the last 12 months.

9. Payment and Invoicing

9.1 Payment Terms

• Prices are established in the specific contract
• Payment within 30 days of invoice date, unless otherwise agreed
• All prices are VAT excluded

9.2 Late Payments

In case of delay, legal interest will be applied and NeuroQuantic may suspend services.

10. Duration and Termination

10.1 Duration

Terms apply for the entire duration of the specific contractual relationship.

10.2 Termination

Either party may terminate the contract with 30 days notice. Immediate termination is possible in case of:

• Serious breach of terms
• Insolvency or bankruptcy proceedings
• Breach of confidentiality

11. Compliance and Certifications

NeuroQuantic operates in compliance with:

• GDPR (EU Regulation 2016/679)
• ISO 27001 standards for information security
• Good Clinical Practice (GCP) where applicable
• Ethical guidelines for research

12. Force Majeure

Neither party shall be liable for delays or failures due to force majeure causes, including but not limited to:

• Natural disasters
• Wars or terrorist acts
• Pandemics
• Essential service interruptions
• Unforeseen regulatory changes

13. Changes to Terms

NeuroQuantic reserves the right to modify these terms with 30 days notice. Changes will not apply retroactively to existing contracts.

14. Applicable Law and Jurisdiction

15. Final Clauses

• Partial invalidity: The invalidity of one clause does not affect the validity of others
• Entire agreement: These terms, together with the specific contract, constitute the entire agreement
• Waiver: No waiver shall be valid unless in writing
• Assignment: Rights are not assignable without written consent
